Responsibilities
- Organize and coordinate board meetings, Board committee meetings.
- Prepare and circulate meeting agendas, board packs, and minutes.
- Advise the board on governance best practices and their fiduciary duties.
- Ensure decisions of the board are properly implemented and documented.
- Ensure the bank complies with regulations set by authorities like the Central Bank of Nigeria, NDIC, and the Corporate Affairs Commission.
- File statutory returns and maintain compliance with banking laws and corporate regulations.
- Monitor changes in relevant laws and advise management accordingly.
- Ensure adherence to anti-money laundering (AML) and corporate governance codes.
- Maintain statutory registers (e.g., register of members, directors).
- Keep custody of company records, seal, and legal documents.
- Ensure proper documentation of policies, resolutions, and contracts.
- Act as a link between the board of directors, management, regulators, and shareholders.
- Handle official correspondence with regulators and external stakeholders.
- Facilitate communication of board decisions to management.
- Support implementation of internal controls and compliance frameworks.
- Work closely with compliance and audit teams to ensure regulatory adherence.
- Identify governance or compliance risks and escalate appropriately.
- Advise directors on legal obligations, ethics, and corporate responsibility.
- Provide guidance on conflict of interest and disclosure requirements.
- Ensure directors are properly inducted and trained.
- Oversee corporate secretariat functions.
- Manage company insurance, licenses, and permits.
- Assist in preparing annual reports and governance disclosures.
Qualifications
- Background in Law (a must), background in Business Administration, Finance, or Accounting is an added advantage.
- Membership in professional bodies like the Institute of Chartered Secretaries and Administrators (also an added advantage).
- Strong knowledge of corporate law, banking regulations, and governance principles.
- Excellent organizational, communication, and advisory skills.
- High level of integrity and confidentiality.
